Title: Duties of directors in corporate governance: an Indian perspective

Abstract: In the wake of corporate governance issues raised by Mr. NR Narayana Murthy relating to Infosys that has come to public attention recently, an attempt is made in this paper to critically evaluate the role of board of directors in the governance of a company. This study observes a need to re-look at the role and duties of directors in the field of corporate governance in achieving the larger goal of good governance. An implication of this paper is that it addresses the legislative response to corporate governance challenges in the Indian context and also suggests how regulatory bodies may deal with situations where the board of directors fall short in the discharge of their duties towards various stakeholders.
