Abstract: Banks are one of the vital organs of the economic system of India and the way these banks are governed is a matter of concern to the stakeholders. The objective of this research is to analyse the impact of the structure of the board of the banks on their financial performance. The research is based on the theory of corporate governance. The researchers have selected public sector banks which are listed on Bombay Stock Exchange (BSE) as the sample. The researchers found the impact of board to be positive on the non-performing assets of the selected banks. Present study is unique as it is focused on the listed public sector banks in India. The study will help the banks to understand the relationship between board and efficiency of bank as well as to the policy makers to formulate policies while structuring of the board of any bank.
