Abstract: In this study, we study the role of corporate governance and ownership structure on a firm's capability of acquiring new technology. More specifically, we examine how foreign ownership, large shareholder, general manager duality and general manager's working experience influence a firm's capability to acquire and develop new technology. Using data from 807 Indian firms, we found that general manager duality is positively related to a firm's likelihood of technology acquisition; however, a general manager's experience hinders a firm from acquiring new technology. This study suggests that top management motivation plays a critical role in increasing a firm's competitive advantage.
