Abstract: There has recently been extensive company law reform in Hong Kong. This paper discusses the law reform proposals and decisions relating to directors' duties, and considers in particular whether there should have been comprehensive codification of the duties of directors in Hong Kong. The article also explores recent law reform decisions relating to derivative actions, and considers the extent to which these changes have been effective in clarifying the law in this area.
