Abstract: The purpose of this study was to design and explain a model of professional ethics for bank managers, and also identifying its dimensions and components. The research strategy used in this study is the grounded theory with a Glaserian (emergent) approach. To collect the data, a semi-structured targeted sampling (using the snowball method) was conducted. Fifteen interviews with bank managers were done to reach a theoretical conclusion. The required data were collected and analysed. After the continuous process of data comparison and selective codifying, the total collected data were classified into 403 primary concepts, 23 categories and three groups. The final result of the collected data analysis led to the final model of research about the core issue, as the 'professional ethics for bank managers'. The bank manages' professional ethics were classified into three dimensions: individual, organisational and cross-organisational. Based on the findings of this study, this model can be considered and used as a guide for organisational and professional ethics for bank managers.
